1. Agreement to Terms
By accessing or using Everdesk ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must not access or use the Service. These Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity, "you") and DOFORTECH INC, doing business as Everdesk ("Everdesk", "we", "our", or "us").
We reserve the right to update these Terms at any time. Material changes will be communicated with at least 30 days' notice via the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
2. Description of Service
Everdesk is an AI-native customer communications platform designed for small businesses. The Service enables you to manage customer interactions across multiple channels — including email, SMS, WhatsApp, live chat, and social media — from a unified inbox. The Service includes AI-powered features such as smart replies, message categorization, sentiment analysis, and workflow automation.
The specific features available to you depend on your subscription plan. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice for material changes.
3. Eligibility
To use the Service, you must:
- Be at least 16 years of age.
- Have the legal capacity to enter into a binding agreement.
- If using the Service on behalf of an organization, have the authority to bind that organization to these Terms.
- Provide accurate, current, and complete registration information.
4. User Accounts
4.1 Account Creation
- You must provide accurate and complete information when creating an account.
- You may not create an account using a false identity or information, or on behalf of someone other than yourself without their permission.
- We reserve the right to refuse registration or cancel accounts at our discretion.
4.2 Account Security
- You are responsible for maintaining the confidentiality of your account credentials, including your password and any API keys.
- You must immediately notify us of any unauthorized use of your account or any other breach of security.
- You are responsible for all activities that occur under your account, whether or not you authorized them.
- We recommend enabling two-factor authentication (2FA) for enhanced security.
4.3 Account Types and Roles
- Accounts may include multiple users with different roles (e.g., owner, admin, agent). The account owner is responsible for managing user access and permissions.
- Inviting a user to your account grants them access to shared data, including customer conversations, according to their assigned role.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, state, national, or international law or regulation.
- Send spam, unsolicited messages, or bulk communications in violation of anti-spam laws (e.g., CAN-SPAM, GDPR).
- Transmit any material that is defamatory, obscene, threatening, abusive, or otherwise objectionable.
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
- Attempt to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks connected to the Service.
- Interfere with or disrupt the integrity, security, or performance of the Service or its underlying infrastructure.
- Transmit any viruses, worms, malware, ransomware, or other harmful or destructive code.
- Use the Service to collect, store, or process sensitive personal data (e.g., health, financial, or government-issued identification data) unless expressly permitted by your subscription plan and a separate data processing agreement.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
- Use any automated means (bots, scrapers, etc.) to access the Service except through our published APIs.
- Resell, sublicense, or redistribute the Service without our prior written consent.
We reserve the right to investigate and take appropriate action against violations, including suspending or terminating your account without notice.
6. Your Data and Content
6.1 Ownership
You retain all ownership rights to the data, content, and materials you upload, submit, or transmit through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive, worldwide license to use, process, store, and display Your Content solely for the purpose of providing and improving the Service.
6.2 Responsibility
You are solely responsible for Your Content and the consequences of submitting it. You represent and warrant that you have all necessary rights, licenses, and consents to submit Your Content and to grant us the rights described in these Terms.
6.3 Data Processing
Where we process personal data on your behalf (i.e., your customer data), we act as a data processor under applicable data protection laws. Our data processing practices are further described in our Privacy Policy. If you require a Data Processing Agreement (DPA), please contact us at legal@everdesk.ai.
6.4 Data Portability
You may export Your Content at any time through the Service's built-in export features or by contacting our support team. Upon account termination, we will make Your Content available for export for a period of 30 days, after which it will be permanently deleted.
7. AI Features and Automated Processing
7.1 AI-Powered Features
The Service includes AI-powered features that may generate suggestions, draft responses, classify messages, or automate workflows. These features are provided as tools to assist you and are not intended to replace your judgment.
7.2 Accuracy
While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and approving any AI-generated responses before they are sent to your customers.
7.3 Data Usage for AI
We may use aggregated and anonymized usage data to improve our AI models. We do not use your identifiable customer communication data to train models shared with other customers. You may opt out of AI model improvement contributions by contacting us.
8. Intellectual Property
8.1 Our Property
The Service, including its original content, features, functionality, design, branding, and underlying technology, is owned by DOFORTECH INC and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written consent.
8.2 Feedback
If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation to you.
8.3 Trademarks
"Everdesk" and associated logos are trademarks of Everdesk. You may not use our trademarks without prior written permission. Nothing in these Terms grants you any right, title, or interest in our trademarks.
9. Subscriptions and Payments
9.1 Plans and Pricing
Some features of the Service require a paid subscription. Available plans and pricing are listed on our website. We reserve the right to change our pricing with at least 30 days' notice before your next billing cycle.
9.2 Billing
- You will be billed in advance on a recurring basis (monthly or annually) according to your chosen plan.
- All fees are quoted in the currency specified at checkout and are exclusive of applicable taxes unless stated otherwise.
- You are responsible for providing a valid payment method and keeping your billing information up to date.
9.3 Free Trials
We may offer free trials at our discretion. At the end of a trial period, you will be automatically enrolled in the plan you selected unless you cancel before the trial ends. We will notify you before the trial expires.
9.4 Refunds
Payments are generally non-refundable except where required by applicable law. If you believe you are entitled to a refund, please contact our support team within 14 days of the charge.
9.5 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will continue to have access to paid features until the end of your billing cycle.
10. Third-Party Integrations
10.1 Availability
The Service may integrate with third-party applications and services. These integrations are provided for your convenience and are subject to the terms and conditions of those third parties.
10.2 Responsibility
We are not responsible for the availability, accuracy, or content of third-party services. Your use of third-party integrations is at your own risk, and you should review the privacy policies and terms of any third-party services you connect.
10.3 API Access
We may provide API access for building custom integrations. API usage is subject to our API documentation and any applicable rate limits. We reserve the right to modify or restrict API access at any time.
11. Service Availability and Support
11.1 Uptime
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. Planned maintenance windows will be communicated in advance when possible.
11.2 Support
Support availability and response times depend on your subscription plan. Details are outlined on our pricing page. We provide support via email and in-app chat.
12. Termination
12.1 By You
You may terminate your account at any time by contacting us or through your account settings. Termination does not entitle you to a refund for any prepaid fees.
12.2 By Us
We may suspend or terminate your account immediately, without prior notice, if:
- You violate these Terms or any applicable law.
- Your conduct is harmful to other users, us, or third parties.
- Your account has been inactive for an extended period (we will attempt to notify you before taking action).
- Required to do so by law or regulation.
12.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will retain Your Content for 30 days to allow for export, after which it will be permanently deleted. Provisions that by their nature should survive termination (e.g., intellectual property, limitation of liability, indemnification) will remain in effect.
13. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY AI-GENERATED CONTENT.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DOFORTECH INC (D/B/A EVERDESK), ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
- YOUR USE OF OR INABILITY TO USE THE SERVICE
- ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR YOUR DATA
- ANY INTERRUPTION OR CESSATION OF THE SERVICE
- ANY BUGS, VIRUSES, OR OTHER HARMFUL CODE TRANSMITTED THROUGH THE SERVICE
- ANY ERRORS OR OMISSIONS IN ANY CONTENT, INCLUDING AI-GENERATED CONTENT
- ANY THIRD-PARTY CONDUCT ON THE SERVICE
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).
15. Indemnification
You agree to indemnify, defend, and hold harmless DOFORTECH INC (d/b/a Everdesk) and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of any third party
- Your Content or the way you use Your Content through the Service
16. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to the exclusive jurisdiction of the state and federal courts located in Sacramento County, California.
17. General Provisions
- Entire agreement: these Terms, together with our Privacy Policy, constitute the entire agreement between you and Everdesk regarding the Service.
- Severability: if any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
- Waiver: our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
- Assignment: you may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
- Force majeure: we shall not be liable for any failure to perform our obligations where such failure results from causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, labor disputes, government actions, or internet service failures.
